Articles of Incorporation of the undersigned, a majority of whom are citizens of the United States, desiring to form a Non-Profit Corporation under the Non-Profit Law of Texas, do hereby certify:
Article I
Name
The name of this organization shall be:
The Messianic Hebrews of America Organization.
Article II
Location and Founding Members
The principal offices of the Messianic Hebrews of America shall be located in the City of Kountze, County of Hardin, State of Texas.
The name and addresses of the persons who are the initial trustees of the Messianic Hebrews are as follows:

Article III
Purposes and Duration
The purposes for which this Organization is formed are:
A. The Messianic Hebrews of America is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal or state tax code
B. The specific and primary purposes are:
1. The Purpose of this Organization shall be to bind together followers of Yahshua Hamashiach for the object of sharing in the worship of God and in making God's will dominant in the lives of people so willing, especially as that will is set forth in the life and teachings of Yahoshua Hamashiach by any suitable method or media which includes but is no limited to the following:
a) Establishing and operating a local community and synagogue for the worship of Yahweh, using personal witnessing, television and radio for instructions, conventions, preaching, teaching, missions and other Messianic purposes;
b) Assisting and furthering the task of providing biblical scripture to groups of the world through the Holy Scriptures and other printed material by providing speakers and other instructional and educational programs which may be deemed necessary or convenient in effecting the above purposes;
c) Establishing of new programs of outreach and ministry, and the strengthening of existing programs and organizations which have a similar purpose and dedication to presenting Yahweh as God.
d) Establishing any facilities or structures deemed needed by the Board of Directors to carry out the Propose of The Messianic Hebrews of America.
2. To be obedient to Yahweh and Yahoshua the Christ's command to "Go ye therefore, and teach all nations, baptizing them in the name of the Father, and of the Son, and of the Holy Spirit;"
3. To serve as an instrument through which men may be witnesses unto Yahweh and Yahoshua in Jerusalem, and unto all Judea, and in Samaria, and unto the uttermost parts of the earth;
4. To do only that which glorifies Yahweh/ The Father, Yahoshua/ the Son, and the Holy Spirit.
C. The general purposes and powers are:
1. To engage in spiritual work and services based upon the authority of the Holy Bible;
2. To purchase or acquire by gifts, bequest or otherwise, either directly or as trustee, and to own, hold in trust, use, sell, convey, mortgage, lease or otherwise dispose of any real estate or chattels as may be necessary for the furtherance of its purpose; all in accordance with its Constitution and By-Laws or as the same may be hereafter modified or amended.
D. No substantial part of the activities of the Messianic Hebrews of America shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Messianic Hebrews of America shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to candidate for public office. Notwithstanding any other provision of these articles, The Messianic Hebrews of America shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purpose of The Messianic Hebrews of America.
E. Duration shall be from April, 1985 until December 31, 1986 perpetual. As a Corporation from January 1, 2000 Perpetual.
Article IV
Sovereignty
While maintaining its inherent rights to sovereignty in the conduct of its own affairs, The Messianic Hebrews of America may voluntarily accept into fellowship all Organizations of like precious faith and seek practical ways to serve the whole Organization and It's unity.
Article V
Property
The property of this organization is irrevocable dedication to charitable purposes and no part of the new income or assets of this organization shall ever inure to the benefit of any director, officer, trustee, or member thereof or to the benefit of any private persons, except that the Messianic Hebrews of America shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof. No Officer or Director may receive any payment, gift, or restitution, compensation, indemnification, or indemnity of any kind for being said Officer or Board Member. Being an Officer or Board member shall not prohibit an Officer or Board member from holding any other position for which they may be qualified to hold on the grounds that they are an Officer or Board member of the Messianic Hebrews of America. Upon the dissolution of the Organization, its assets remaining after payment or prevision for payment of all debts and liabilities of this corporation, shall be distributed to a non-profit fund, foundation, or corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status under Section 501 (c) (3) or the Internal Revenue Code.
Article VI
Membership of the Organization
Membership in this Organization shall be extended to all applicants who give evidence of their faith in the Yahoshua The Christ and who consent to be governed by its Constitution and By-Laws as herein set forth.
Article VII
Reservation of Powers
Powers not delegated by this Constitution are reserved to the Membership.
Article VIII
By-Laws
The Membership shall adopt By-Laws in furtherance of this Constitution.
Article IX
Governance
This Organization shall be governed by A High Chief and its Membership, when in session, which shall occur at least annually. When not in session, except to the extent reserved to the Chiefs and Rabbans in the By-Laws, this Organization shall be governed by a High Chief and a High Council which shall consist of Thirteen Chiefs, one Chief from each of the twelve tribes, Reuben, Simeon, Judah, Dan, Naphtali, Gad, Asher, Issachar, Zebulun, Manasseh and Ephraim (Joseph), Benjamin. Also one from the tribe of Levi. Seven of the Thirteen Chiefs shall constitute a quorum for the transaction of business. All officers such as the Chairman of the Boards, the Moderators, and such other Members specified by the By-Laws. Their manner of selection, terms, responsibilities, and authority shall be set forth in the By-Laws. The High Chief shall have the finial say in any change made to this Constitution or By-Laws. The High Chief alone can over rule any ruling or law. The High Chief has been elected for life or until such time he is unable to perform the duties of said office at which time he shall relinquish his authority over to the Assistant High Chief. The Assistant High Chief shall then hold the Office of High Chief for life or until such time as that which caused the replacement of the former High Chief. The head of the Messianic Hebrews is Yahoshua Hamashiach son of Yahweh and the Head of Yahoshua is Yahweh (God). a quorum shall consist of not less than 50% of the eligible voters in any meeting whether a meeting of the High Chief Counsel or any other organizational meeting or committee. Failure of the High Chief to sign a proposal with in ninety (90) days shall constitute a veto. To over rule a veto by the High Chief requires a unanimous vote by the High Chief Counsel in three consecutive monthly meetings, commencing no less than seventy (70) days after the veto, and by a two thirds 2/3 majority vote from all eligible members taken no less than one hundred (100) days after the High Chief Counsel have fulfilled their requirements of over ruling the High Chief.
Article X
Amendment
This Constitution may be amended only by the affirmative vote of two-thirds
(2/3) of the Members in which at least 10% of the Membership vote and the
approval by the High Chief. The proposed amendment shall be distributed to
the Members at least ninety (90) days prior to each Annual election.
